On Tuesday, a Texas federal judge issued a nationwide injunction blocking requirements for companies to submit beneficial ownership information to the Treasury Department by January 1, 2025.
Beneficial Ownership Information (BOI) – information that identifies individuals who directly or indirectly own or control a company – was mandated to be disclosed to the Financial Crimes Enforcement Network (FinCEN) under the Corporate Transparency Act, enacted in 2020 as part of the Anti-Money Laundering Act. The information would be retained by FinCEN in a federal database to “crackdown” on shell companies, which have been described as the “vehicle of choice for money launders, terrorists and criminals” by former Representative Carolyn Maloney (D-NY), who introduced the legislation.
This injunction will directly affect Members of CCCBI and our business community. As such, we will continue to track any movement and provide our Membership with the most up to date information as they navigate the ever-evolving climate in the new year.
